Terms and Conditions for using PropDB.

These Terms and Conditions govern access to PropDB, including the website, authenticated product, geospatial intelligence tools, AI-assisted workflows, reports, exports, credits, APIs, automations, and enterprise administration features.

  • Use PropDB only through authorized accounts, permitted plans, published interfaces, and applicable subscription entitlements
  • Customer data, third-party data sources, AI outputs, exports, and automations must be handled lawfully and with appropriate business judgment
  • Enterprise order forms, DPAs, SLAs, or signed agreements control if they conflict with this public page

1. Agreement Overview

These Terms and Conditions form a binding agreement between you, or the organization you represent, and PropDB.ai for use of the PropDB services.

By accessing the website, creating an account, accepting an invitation, starting a trial, using the product, or continuing to use the services after an update, you agree to these Terms and acknowledge the PropDB Privacy Policy.

If you access PropDB on behalf of a company, fund, developer, operator, government body, advisor, or other organization, you represent that you have authority to bind that organization.

If a signed order form, enterprise agreement, data processing addendum, service level agreement, or other written contract applies to your workspace, that written agreement controls to the extent of any conflict.

If you do not agree to these Terms, do not access or use PropDB.

2. Accounts, Workspaces, and Access

  • Accounts are intended for named users and may not be shared unless PropDB expressly permits the applicable access model.
  • You are responsible for safeguarding credentials, sessions, API keys, exported files, and any administrative privileges assigned to your account.
  • Workspace owners and administrators are responsible for inviting authorized users, assigning appropriate roles, managing removals, and reviewing workspace activity.
  • You are responsible for all activity performed under your account or through credentials issued to your workspace.
  • PropDB may require additional verification for elevated-risk actions such as admin changes, bulk exports, billing updates, automation credentials, or security-sensitive requests.
  • PropDB may suspend, limit, or revoke access if we believe an account is compromised, misused, inactive in a risky manner, or used in violation of these Terms or applicable law.

3. Permitted Use and Restrictions

  • Use PropDB only for lawful business, research, diligence, planning, investment, infrastructure, development, and operational purposes.
  • Do not bypass authentication, authorization, credit controls, rate limits, module gates, geographic restrictions, or workspace policies.
  • Do not scrape, crawl, bulk extract, benchmark, resell, sublicense, mirror, or build a competing service from PropDB content or interfaces without written permission.
  • Do not upload malicious code, credential dumps, excessive geometries, unlawful content, sensitive personal data, or material intended to disrupt service operations.
  • Do not reverse engineer protected datasets, vendor integrations, models, scoring methods, source code, or non-public platform logic.
  • Do not use PropDB for unlawful discrimination, surveillance, prohibited profiling, sanctions evasion, real-time targeting of individuals, or other high-risk illegal conduct.
  • Do not introduce customer data unless you have all rights, permissions, notices, and legal bases needed for PropDB to process it.

4. Customer Content and Workspace Data

  • You retain ownership of customer content you submit, including saved areas, geometry, notes, tags, uploads, automation inputs, feedback, and workspace configuration.
  • You grant PropDB a limited license to host, process, transmit, display, secure, back up, troubleshoot, and otherwise use customer content as needed to provide and improve the services.
  • You are responsible for the accuracy, legality, quality, and business appropriateness of customer content and for ensuring that it does not violate third-party rights.
  • If you share exports, reports, saved areas, or screenshots outside your workspace, you are responsible for the information disclosed.
  • PropDB may remove or restrict content that appears unlawful, abusive, insecure, infringing, or inconsistent with these Terms.

5. Plans, Trials, Credits, Billing, and Taxes

  • Access may be provided through free trials, subscriptions, usage credits, enterprise plans, pilots, or custom order forms.
  • Credits may be consumed by AI workflows, geospatial analysis, reports, exports, automations, data pulls, and other premium actions.
  • The backend billing and entitlement system is the source of truth for plan limits, credit balances, reservations, refunds, and enforcement.
  • Plan limits may include user seats, modules, regions, saved areas, exports, automation runs, API calls, daily jobs, monthly usage, storage, or admin operations.
  • Fees are generally non-refundable except as required by law or expressly stated in a written agreement.
  • You are responsible for applicable taxes, duties, withholding, bank fees, and payment information accuracy unless otherwise stated in an enterprise agreement.
  • If you believe a credit or billing event is incorrect, contact support with the run id, timestamp, user, workspace, and relevant screenshots.

6. Product Changes, Availability, and Beta Features

  • PropDB may add, modify, suspend, or discontinue features as datasets, models, infrastructure, plans, regulations, customer needs, or product priorities evolve.
  • Some features depend on external identity providers, cloud infrastructure, AI providers, payment processors, data vendors, public datasets, and third-party APIs.
  • Availability, update cadence, coverage, latency, and output quality may vary by region, provider, dataset, plan, and workload.
  • We may perform maintenance that temporarily affects service access; enterprise customers may request maintenance coordination where available.
  • Preview, alpha, beta, experimental, or evaluation features are provided as-is and may be changed or withdrawn without notice.

7. Third-Party Data, Maps, and Integrations

  • PropDB may include or link to third-party data, open datasets, maps, imagery, market signals, infrastructure records, AI services, authentication services, payment services, and integration providers.
  • Third-party materials remain subject to their own licenses, attribution requirements, acceptable use rules, restrictions, and availability.
  • PropDB cannot grant rights to third-party content that PropDB does not own or control.
  • Data coverage, completeness, freshness, coordinates, classifications, ownership records, and market signals may be incomplete, delayed, approximate, or inaccurate.
  • If a provider changes, removes, restricts, or reprices a dataset or integration, PropDB may adjust affected functionality.

8. AI-Assisted Outputs and Decision Responsibility

  • PropDB may use AI-assisted systems to summarize, classify, reason over, or generate outputs from geospatial, market, uploaded, and operational data.
  • AI outputs may be incomplete, inaccurate, outdated, probabilistic, or unsuitable for a particular decision without expert review.
  • You are responsible for validating outputs before relying on them for investment, acquisition, financing, development, legal, compliance, tax, engineering, environmental, safety, or regulatory decisions.
  • PropDB does not provide legal, financial, tax, valuation, engineering, environmental, surveying, brokerage, or investment advice.
  • Do not enter sensitive personal data, regulated secrets, or information you are not authorized to process into AI prompts, notes, uploads, or automations.

9. Security, Auditability, and Responsible Disclosure

  • We apply security headers, request size limits, and rate limiting at the API boundary.
  • Audit logs record key actions and privileged operations.
  • Enterprise deployments may support additional controls such as SSO, IP allowlists, retention configuration, audit exports, and administrative reporting.
  • Do not attempt vulnerability scanning, penetration testing, fuzzing, social engineering, credential attacks, or denial-of-service testing without prior written authorization.
  • Report suspected incidents or vulnerabilities to support@propdb.ai with timestamps, request ids, affected workspace, and a clear reproduction path when available.
  • You must promptly notify PropDB if you suspect unauthorized access, credential compromise, data exposure, or misuse of your workspace.

10. Intellectual Property

  • PropDB and its licensors retain all rights in the platform, software, source code, designs, workflows, models, algorithms, datasets, documentation, trademarks, and other proprietary materials.
  • Subject to these Terms and your applicable plan, PropDB grants you a limited, non-exclusive, non-transferable, revocable right to access and use the service for your internal business purposes.
  • You may not copy, modify, create derivative works from, distribute, publicly display, sell, lease, or exploit PropDB materials except as permitted by the service or a written agreement.
  • Feedback, suggestions, and product ideas you provide may be used by PropDB without restriction or compensation, while your customer content remains subject to the customer content section above.
  • If you believe content on PropDB infringes intellectual property rights, contact support@propdb.ai with enough detail for review.

11. Confidentiality

  • Non-public product, security, pricing, roadmap, beta, benchmark, workspace, and business information disclosed through PropDB may be confidential.
  • You must use confidential information only to evaluate or use PropDB and protect it with reasonable care.
  • This section does not restrict information that is publicly available, independently developed, lawfully received from another source, or approved for disclosure in writing.

12. Suspension and Termination

  • You may stop using PropDB at any time; workspace administrators may remove users and manage internal access.
  • PropDB may suspend or terminate access for non-payment, security risk, misuse, legal risk, policy violation, suspected fraud, or breach of these Terms.
  • Termination does not relieve you of amounts already due or obligations that by their nature should survive.
  • After termination, PropDB may retain records as required for security, audit, backup, compliance, billing, dispute resolution, or legal obligations.
  • Enterprise offboarding, export, deletion, and transition support may be handled under the applicable written agreement.

13. Disclaimers

The services are provided on an as-is and as-available basis except to the extent expressly stated in a written agreement.

PropDB disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, error-free operation, and absolute accuracy of data, outputs, maps, signals, or recommendations to the maximum extent permitted by law.

You are responsible for independent diligence and professional review before making business, financial, regulatory, engineering, legal, or operational decisions.

14. Limitation of Liability

To the maximum extent permitted by law, PropDB will not be liable for indirect, incidental, special, consequential, exemplary, punitive, lost profit, lost revenue, lost opportunity, loss of goodwill, business interruption, or loss of data damages.

Except for amounts that cannot be limited by law or a signed agreement, PropDB's aggregate liability arising out of or relating to the services will not exceed the amounts paid by you to PropDB for the affected service during the twelve months before the event giving rise to the claim.

These limits apply regardless of the legal theory and even if a remedy fails of its essential purpose.

15. Indemnity

You agree to defend, indemnify, and hold harmless PropDB, its affiliates, officers, employees, contractors, and providers from claims, losses, liabilities, damages, costs, and expenses arising from your customer content, misuse of the service, breach of these Terms, violation of law, or infringement of third-party rights.

16. Governing Law and Dispute Resolution

Unless a written agreement states otherwise, these Terms are governed by the laws applicable to the PropDB contracting entity, without regard to conflict-of-law rules.

Before filing a formal claim, the parties will attempt to resolve disputes in good faith through business escalation. Contact support@propdb.ai with your company name, workspace, issue summary, and requested resolution.

Any mandatory venue, arbitration, or jurisdiction terms in an applicable signed agreement will control for enterprise customers.

17. Changes to These Terms

PropDB may update these Terms from time to time. Updates become effective when posted unless a later effective date is stated.

If changes are material, we may provide notice through the product, website, email, or other reasonable means.

Continued use of PropDB after updates become effective means you accept the updated Terms.

For contract review, include your company name and requested scope such as order form, DPA, SLA, security questionnaire, procurement packet, or enterprise addendum.

For product issues, include request ids, screenshots, timestamps, user email, workspace, impacted region, and affected run or area identifiers.
